The Wellness Extension, LLC’s Small Business Owners’ Vault Terms and Conditions By joining the Small Business Owner’s Vault (within “VAULT”) participants agree to abide by The Wellness Extension, LLC’s (within “the Company”) terms and conditions (“Terms”), and must check the box agreeing as follows. The Company reserves the right to remove anyone who does not uphold these terms and comply with the conditions. Please read the Terms carefully before checking the box to agree. IF YOU DO NOT AGREE TO ALL OF THESE TERMS, THEN PLEASE DO NOT CHECK THE BOX OR JOIN THE VAULT. All participants of the VAULT will contribute in a kind, professional, courteous, truthful and respectful manner and will interact collaboratively with the host and other program contributors. (1) Purpose of the VAULT The VAULT, is designed for educational, supportive and collaborative purposes only, and is not intended to be a substitute for legal advice. Jillian Bernstein, CEO of the Company has experience and expertise in developing and implementing human resources programs and has developed the VAULT as a resource for small business owners. You should not rely on information provided in the VAULT as legal advice. Participants of the VAULT are encouraged to ask questions and share ideas in a confidential environment. The information shared in the group is not to be shared outside of the program without express permission of the other participants. The Wellness Extension does not permit illegal activities or discussion of illegal practices. Anyone exploiting the purpose of the group will be immediately removed. (2) Limitation of Liability Without limiting the foregoing, you acknowledge and agree that the Company and the VAULT and its officers, directors, agents, employees, third-party providers and affiliates (collectively, “Related Parties”) are not and will not be responsible for, liable for, or incur any claims, causes of action, suits, penalties, fines, losses, damages, costs, or expenses, including attorneys’ fees (“Claims”) arising out of or in connection with these Terms or from your access to, use of, or participation in the VAULT. (3) Indemnification You agree to defend, indemnify and hold the Company and the VAULT and the Related Parties harmless from and against any and all Claims brought by third parties arising from, or alleged to result from, your participation in the program, including your violation of the Terms. You will cooperate fully, at your sole expense, as reasonably required in the defense of any such Claim. (4) Governing Law The Wellness Extension is a Maryland Limited Liability Company with a principal place of business in Rockville, MD. By participating in the Company’s VAULT program you agree that the relationship with Wellness Extension is governed by the laws of the state of Maryland and any disputes arising out of that relationship shall be mediated by a mediator in Maryland or brought to court in the state of Maryland. (5) Subscriptions By joining the VAULT, you agree to a monthly subscription charge, which will recur monthly based on original date of registration, unless you ask to terminate the charge fifteen (15) days’ notice prior to the next charge, in writing, to the Company via email at hello@wellnessextension.com.
